  15. VISCORP MOVES TO ACQUIRE LEADING TECHNOLOGY COMPANY

  17. Letter of Understanding Signed by Escom AG, Amiga Technologies and VIScorp
  18.  
  19. Chicago, IL, April 11,1996 -- Visual Information Services Corp. (Nasdaq:
  20. VICP, Bulletin Board), a developer of Interactive TV (ITV) set-top boxes to
  21. enhance television use and viewing by providing Internet access and
  22. electronic communications functions, announced that it has a binding
  23. letter of understanding to acquire the assets of Amiga Technologies from
  24. Escom AG.

  26. "We believe the Amiga television interface technology is clearly superior to
  27. anything that now exists for ITV boxes," said William Buck, VIScorp's chief
  28. executive officer. "Earlier this year, we licensed this technology for our
  29. second-generation prototype box. The proposed acquisition of Amiga would
  30. enable us to fully apply the proprietary technologies, patents and
  31. copyrights that are vital to the appearance, user appeal and functionality
  32. of our product."

  34. The proposed acquisition would include the intellectual property of the
  35. former Commodore Business Machines, except Commodore trademarks. Terms were
  36. not disclosed. The pending acquisition would be subject to the approval of
  37. both boards of directors.

  39. Mr. Buck stated: "Aiding our time to market, the proposed acquisition of
  40. Amiga would provide us with the installed base of our primary target market
  41. for Internet-supported software program distribution, which may ultimately
  42. lead to a new type of television network. This intended acquisition is part
  43. of VIScorp's strategy to build market leadership in the fast-growing field
  44. of ITV."

  46. Mr. Buck explained that the proposed acquisition would give VIScorp
  47. ownership of Amiga intellectual properties, including several that are
  48. currently used in its set-top Electronic Device (ED), as well as
  49. control over the supply of chip sets used in ED, Amiga inventories, and
  50. access to the company's sales and distribution channels.

  52. If the acquisition is completed, noted Mr. Buck, VIScorp anticipates
  53. continued sales and support of popular Amiga computer models. Commenting
  54. that the primary objective of the proposed acquisition is to give VIScorp
  55. full access to the Amiga/Commodore technology to support development of its
  56. ITV device, Mr. Buck said: "Our TVset-top interactive boxes would give home
  57. users capabilities such as telephone reception and dial-up, facsimile,
  58. pay-per-view options, electronic mail, access to online services, including
  59. the Internet, and more."
